These Terms of Use (“Terms”) are a binding agreement between you and SLT PLLC (“SLT,” “we,” “us,” or “our”) and govern your access to and use of www.sltcpas.com and any related pages, content, tools, or services offered on or through our website, including any client portal (collectively, the “Site”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Content on the Site including articles, calculators, checklists, tools, downloads, and posts is for general informational purposes only and not accounting, tax, legal, or other professional advice. Your use of the Site does not create a CPA-client or other professional relationship with SLT. Engage us separately and sign our engagement documentation if you wish to receive services.
Eligibility and geographic use
The Site is intended for individuals 18 years or older located in the United States. By using the Site, you represent you meet these criteria.
Changes to the Site or these Terms
We may update the Site and these Terms at any time. Changes are effective when posted. Your continued use of the Site after changes are posted means you accept the updated Terms.
Client portal; uploads; security
We may provide a secure client portal or upload features for exchanging information. You are responsible for safeguarding your credentials and for all activities under your account. While we take reasonable measures to protect information, no method of transmission or storage is 100% secure. Use the portal and upload features at your own risk and only to submit information appropriate for your engagement with us and consistent with our instructions.
Acceptable use
You agree not to:
• Violate any law or infringe third-party rights;
• Attempt to gain unauthorized access to the Site, accounts, data, or systems;
• Introduce malware or interfere with Site operation;
• Scrape, harvest, or mine data except as permitted with our written consent;
• Misrepresent your identity or affiliation; or
• Use the Site to advertise or solicit services without our prior written consent.
We may suspend or terminate access for violations.
Intellectual property; limited license
The Site and all content (text, graphics, logos, downloads, and other materials) are owned by SLT or our licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to access and use the Site for personal or internal business use. You may not copy, modify, distribute, publicly display, create derivative works from, or exploit the Site or its content without our prior written consent.

The Site may link to third-party sites or services. We do not control and are not responsible for third-party content, policies, or practices. Access them at your own risk and review their terms.
Feedback
If you provide feedback, ideas, or suggestions, you grant SLT a non-exclusive, royalty-free, worldwide, perpetual license to use and exploit that feedback without restriction or attribution.

WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, SECUR, OR AVAILABLE AT ANY PARTICULAR TIME, OR THAT CONTENT IS ACCURATE OR COMPLETE.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE. TO THE EXTENT ANY LIABILITY EXISTS NOTWITHSTANDING THE FOREGOING, SLT’S TOTAL LIABILITY SHALL NOT EXCEED $100. SOME JURISDICTIONIS DO NOT ALLOW CERTAIN LIMITATIONS; SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Indemnification
You agree to defend, indemnify, and hold harmless SLT and our partners, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site or your violation of these Terms or applicable law.
Governing law; venue; waivers
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-law rules. State or federal courts located in Fayette County, Kentucky shall have exclusive jurisdiction and venue for disputes arising from or relating to these Terms or the Site, and you consent to personal jurisdiction in those courts.
Class action & jury waiver.
You and SLT waive any right to a jury trial and to participate in a class, collective, or representative action regarding any dispute between us.
Termination
We may suspend or terminate access to the Site, in whole or in part, at any time and for any reason. Sections intended to survive (including IP, Disclaimers, Limitation of liability, Indemnification, and Governing law) will survive termination.
Privacy
Our Privacy Policy explains how we collect, use, and protect information. By using the Site, you consent to our data practices as described there.

Entire agreement; severability; waiver
These Terms constitute the entire agreement between you and SLT regarding the Site. If any provision is found
unenforceable, the remainder will remain in effect. Our failure to enforce any provision is not a waiver.
